ACKNOWLEDGMENT AND RELEASE

In consideration of New York Rangers, LLC (“MSG”) permitting me to take part in the running competition and related recreational activities during the Rangers 5K running event (the “Activity”) located at Flushing Meadows Corona Park in Queens, NY on November 17, 2019, I acknowledge and agree:

1. I hereby certify that:

1. I am over the age of eighteen (18) and/or,
2. In the event the registrant is under eighteen (18), I represent and warrant that I am the parent and/or legal guardian of the registrant and have the right to execute this Acknowledgment and Release on my own behalf and as ratification and confirmation of all terms and conditions of this Acknowledgment and Release on behalf of the registrant.

2. I am fully aware that the Activity may be physically demanding and that there are dangers and risks (direct and indirect) inherent in the Activity, including but not limited to, the possibility of physical injury (including death) to myself and/or others resulting from the Activity. I am in good health and have no pre-existing medical or physical condition(s) that would prevent me from participating in the Activity.
3. I acknowledge the provisions of this Acknowledgement and Release and I expressly assume all such dangers and risks, whether known or not reasonably foreseeable, relating to or arising out of participation in the Activity whether or not arising out of the negligence of any Releasee (as defined in paragraph 4 below) or otherwise.
4. I hereby forever release and discharge New York Rangers, LLC, MSG Sports & Entertainment, LLC, The Madison Square Garden Company, Northwell Health, Inc., the National Hockey League and its Member Teams, NHL Enterprises, LLC, and, with respect to each of the foregoing, their respective owners, parent companies (whether direct or indirect), subsidiaries (whether direct or indirect), affiliated entities, governing leagues, partners, directors, officers, agents, employees, licensees, successors and assigns of any of the foregoing (collectively referred to as the “Releasees”) from and against any and all causes of action, claims, suits, controversies, agreements, promises, judgments, demands or claims whatsoever, that I, or my heirs, executors, administrators, successors or assigns have or hereafter, at any time, shall or may have against the Releasees, arising out of or in connection with (i) my participation in the Activity whether or not arising out of the negligence of any Releasee or otherwise, and (ii) any Releasee’s use (and any use by any licensees, assignees or other successors-in-interest of any Releasee) of my appearance, name, likeness and/or voice as granted herein, including, without limitation, claims for libel or slander, and all “moral rights” or any similar rights which I may now or later have.  I further agree to indemnify and save and hold harmless each Releasee for any loss, liability, claims, damages, costs or causes of action relating to or arising out of the Activity, howsoever caused.
5. I hereby grant full permission to each Releasee, without obligation to compensate me, to use of my name, voice, statements, image, likeness, biographical data and/or actions, in addition to any photographs, audio, video, audio-video and/or other affixation of or relating to my participation in the Activity (including in promotion or advertising) in perpetuity worldwide in any manner and in any and all media, whether now known or hereafter devised, live or on a tape-delayed basis, and represent that I have the right to grant such permission.
6. I acknowledge and agree that this Acknowledgement and Release is intended to be as broad and inclusive as is permitted by the laws of the State of New York and agree that if any portion hereof is held invalid, the balance shall nonetheless continue in full legal force and effect, and that for the purposes of any action or proceeding arising out of this Acknowledgement and Release, I expressly submit to the jurisdiction of all federal and state courts located in the State of New York.  I hereby warrant that I have every right to enter into this agreement on my behalf and to grant the rights hereunder, and I acknowledge that I have read this Acknowledgement and Release prior to signing it and that I fully understand its contents.

7.         In the event the registrant is under eighteen (18), I further agree to defend and indemnify the Releasees for any and all claims asserted against them arising from or related to the registrant’s participation in the Activity.
